1. Acceptance of Terms

By creating an account on or using the Standby Assistr platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Standby Assistr ("we," "us," or "our"), governed by the laws of the Commonwealth of Kentucky.

We may update these Terms from time to time with reasonable notice. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

2. Platform Overview

Standby Assistr is a marketplace that connects clients who need services with independent service providers ("Assistants"). We facilitate the booking, communication, and payment process between clients and Assistants. We are not a staffing agency, employer, or service provider ourselves.

3. Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

  • Clients register by providing their name, email, phone number, password, and optionally a company name and zip code.
  • Assistants apply by providing personal details, professional information, service offerings, pay rate preferences, and availability. Assistant accounts are subject to review and approval.

You must be at least 18 years old to create an account. You agree to provide truthful information and to update your account if your information changes.

4. Client Terms

4a. Credits & Payments

Clients purchase credits through the Platform using Stripe, our third-party payment processor. Credits are used to book Assistants for services. Each credit represents a unit of service value. Credit pricing is displayed at the time of purchase.

  • All credit purchases are final and non-refundable except as described in Section 8 (Cancellation & Refunds).
  • Credits do not expire.
  • Credits are non-transferable between accounts.
  • We do not store your payment card information — all payment processing is handled by Stripe.

4b. Booking Services

When you book an Assistant, you agree to the service details, schedule, and credit cost presented at the time of booking. All bookings have a 2-hour minimum. You are expected to provide a safe and respectful environment for the Assistant performing services.

4c. Client Confidentiality

By creating an account, you agree not to share Assistant information — including names, specialties, rates, and contact details — outside of the Platform. Assistant information is the proprietary property of Standby Assistr and is provided solely for the purpose of facilitating bookings through the Platform.

5. Assistant Terms

5a. Independent Contractor Status

Assistants are independent contractors (1099) and are not employees of Standby Assistr. As an independent contractor, you:

  • Are responsible for your own taxes, insurance, and business expenses
  • Have the right to accept or decline any job offered through the Platform
  • Are free to work for other platforms, businesses, or clients
  • Control how you complete your work, subject to professional standards
Your freedom is protected. As a 1099 independent contractor, you are free to contract with anyone, anywhere. Nothing in these Terms restricts your right to perform services for other clients or platforms outside of Standby Assistr.

5b. Platform Usage

While using the Platform, Assistants agree to:

  • Complete accepted jobs professionally and on time
  • Communicate with clients through the Platform for Platform-booked jobs
  • Maintain accurate information about skills, availability, and rates
  • Follow platform community guidelines and professional standards
  • Provide reasonable notice if cancellation or rescheduling is needed

5c. Confidentiality

Assistants agree to keep client contact information and personal details confidential. Client information obtained through the Platform should only be used to complete jobs booked through Standby Assistr. Assistants agree not to share client information for purposes outside the Platform.

5d. Pay Structure

Assistants select their pay rate during registration, starting at a minimum of $25/hr with no upper limit. Your selected rate is guaranteed per 2-hour minimum booking and remains the same regardless of any client-facing discounts for extended hours. Clients purchase credits that fund Assistant payments. Clients receive discounted rates for hours beyond the initial 2-hour minimum — the longer they book, the more they save. Assistant pay always remains the same regardless of any client-facing discounts. Standby Assistr charges clients platform fees to operate the service. Payment is processed within 24 hours of job completion via direct deposit. Additionally, special contracted jobs are available for clients who need to secure an Assistant for longer temporary terms. These arrangements provide extended service commitments at negotiated rates while maintaining guaranteed pay for the Assistant.

5e. Quality Standards & Platform Access

Standby Assistr limits the number of Assistants on the Platform to ensure consistent work opportunities for quality providers. We may remove Assistants who violate Platform terms, provide poor service, or receive consistently low ratings. Job offers are prioritized based on ratings, performance, availability, and fair rotation.

6. Prohibited Conduct

All users agree not to:

  • Provide false or misleading information in their account or communications
  • Use the Platform for any illegal purpose
  • Harass, threaten, or discriminate against any user
  • Attempt to access another user's account or data without authorization
  • Interfere with or disrupt the Platform's functionality
  • Use automated systems (bots, scrapers) to access the Platform
  • Circumvent any security measures or access controls

7. Ratings & Reviews

After a completed booking, clients may rate and review the Assistant. Ratings affect an Assistant's visibility and job prioritization on the Platform. Reviews must be honest and based on the actual service experience. We reserve the right to remove reviews that contain abusive language, false claims, or violate these Terms.

8. Cancellation & Refunds

  • Client cancellations: You may reschedule within 24 hours of booking confirmation. Cancellations made less than 24 hours before a scheduled service may result in partial or full credit forfeiture depending on the circumstances.
  • Assistant cancellations: If an Assistant cancels, we will work to find a replacement or issue a full credit refund to the client.
  • Service disputes: If you are unsatisfied with a completed service, contact us within 48 hours. We will investigate and may issue a partial or full credit refund at our discretion.
  • Credit purchases: Credit purchases are generally non-refundable. Exceptions may be made on a case-by-case basis for unused credits.

9. Account Termination

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to the safety of other users. You may also request account deletion at any time by contacting us.

  • Upon termination, unused credits may be forfeited if the account was terminated for cause (violation of Terms).
  • If you voluntarily close your account, we will work with you regarding any remaining credit balance.
  • Certain records (transaction history, agreement acknowledgments) may be retained as required by law.

10. Limitation of Liability

Standby Assistr is a marketplace that connects clients with independent contractors. We do not perform the services ourselves and are not liable for the quality, safety, or legality of services provided by Assistants. To the maximum extent permitted by law:

  • We are not liable for any direct, indirect, incidental, or consequential damages arising from the use of the Platform or services booked through it.
  • We do not guarantee the availability of Assistants or the outcome of any service.
  • Our total liability to you shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Standby Assistr, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, violation of these Terms, or infringement of any third party's rights.

12. Intellectual Property

The Standby Assistr name, logo, website design, and all content on the Platform are the intellectual property of Standby Assistr. You may not copy, reproduce, or distribute any Platform content without our written permission. User-generated content (reviews, messages, profile information) remains yours, but you grant us a license to display and use it in connection with the Platform.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved as follows:

  • Informal Resolution: We encourage you to contact us first at support@standbyassistr.com. Most issues can be resolved quickly and directly.
  • Governing Law: These Terms are governed by the laws of the Commonwealth of Kentucky (KRS 417.050 et seq.).
  • Jurisdiction: Any legal action shall be brought in the courts of the Commonwealth of Kentucky.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
