By applying to join Standby Assistant, you acknowledge and agree to the following terms. These terms are a condition of your acceptance onto the platform and form a binding agreement under the laws of the Commonwealth of Kentucky.
1. Non-Solicitation of Clients
I agree that I will not, directly or indirectly, solicit, contact, or attempt to divert any client of Standby Assistant for the purpose of providing services outside of the Standby Assistant platform. This includes, but is not limited to: offering discounted or competing services; providing personal contact information, business cards, or website links to clients for the purpose of conducting business outside the platform; encouraging clients to cancel bookings or leave the platform; and engaging with any Standby Assistant client in a professional service capacity outside of this platform during, and for a period of twelve (12) months following, termination of my participation on the platform.
2. Confidentiality of Client Information
I acknowledge that all client information โ including names, contact details, addresses, service preferences, and booking history โ is the confidential and proprietary property of Standby Assistant. I agree not to use, copy, store, or disclose any client information for any purpose other than fulfilling assigned services through the platform.
3. Independent Contractor Status
I understand that I am an independent contractor (1099) and not an employee of Standby Assistant. I am responsible for my own taxes, insurance, and business expenses. I retain the right to accept or decline any job offered through the platform.
4. Pay Structure
I understand that my selected pay rate is guaranteed per 2-hour minimum booking. Clients are charged a platform rate that includes service fees, and my pay rate may differ from the amount charged to the client. I agree not to discuss platform pricing, credit rates, or service fees with clients.
5. Remedies for Breach
I acknowledge that a breach of this agreement may cause irreparable harm to Standby Assistant. In the event of a breach, Standby Assistant shall be entitled to seek injunctive relief, actual damages, lost profits, and reasonable attorney's fees as permitted under Kentucky law (KRS 417.050 et seq.). This agreement shall be governed by the laws of the Commonwealth of Kentucky.
